Terms & Conditions
1. Definitions
“Company” refers to Grain and Paint.
“Client” refers to the person or organisation instructing the Company to carry out works.
“Works” refers to all labour, materials, services, and associated activities supplied by the Company.
2. Quotations and Acceptance
2.1 All quotations are valid for 30 days from the date issued unless otherwise stated.
2.2 Acceptance of a quotation, whether verbally, electronically, or in writing, constitutes acceptance of these Terms & Conditions.
2.3 Any additional works requested by the Client outside the agreed quotation may be subject to additional charges.
3. Concealed or Unforeseen Conditions
3.1 Quotations are based on visible and accessible conditions at the time of inspection.
3.2 The Company reserves the right to revise costs where concealed, hidden, or unforeseen conditions are discovered during the course of works, including but not limited to:
* Rotting timber
* Damp or water ingress
* Structural defects
* Infestations
* Faulty previous workmanship
* Unsafe electrical or plumbing installations
* Hidden damage beneath surfaces or coverings
3.3 Any additional work required due to concealed conditions will be discussed with the Client before proceeding where reasonably practicable.
4. Access and Site Conditions
4.1 The Client shall provide reasonable access to the property and working areas during agreed working hours.
4.2 The Client is responsible for removing or protecting valuable, delicate, or fragile items prior to commencement of works.
4.3 While reasonable care will be taken, the Company accepts no liability for damage to items left in working areas.
5. Materials
5.1 Materials supplied by the Company remain the property of the Company until paid for in full.
5.2 Where the Client supplies materials, the Company cannot guarantee the suitability, performance, or finish of such materials.
6. Payment Terms
6.1 Payment is due within 7 days from the date of invoice unless otherwise agreed in writing.
6.2 The Company reserves the right to request deposits, staged payments, or interim payments for larger projects.
6.3 Late payments may incur statutory interest and debt recovery costs in accordance with the Late Payment of Commercial Debts legislation.
6.4 The Company reserves the right to suspend works or withhold future bookings where invoices remain unpaid.
7. Delays and Force Majeure
7.1 The Company shall not be liable for delays caused by events beyond its reasonable control including weather conditions, material shortages, illness, accidents, supplier delays, or other unforeseen circumstances.
8. Warranty
8.1 The Company provides a workmanship warranty of 12 months from completion of works unless otherwise stated in writing.
8.2 This warranty covers defects arising directly from faulty workmanship only.
8.3 The warranty does not cover:
* Normal wear and tear
* Movement or settlement of buildings
* Damage caused by third parties
* Water ingress or damp issues beyond the Company’s control
* Failure of existing substrates or previous repairs
* Materials supplied by the Client
* Lack of maintenance by the Client
8.4 Decorative finishes may vary slightly due to natural materials, lighting conditions, or existing surface conditions.
9. Liability
9.1 The Company shall maintain appropriate public liability insurance.
9.2 The Company’s liability is limited to the value of the works carried out.
9.3 The Company shall not be liable for indirect, consequential, or financial losses.
10. Cancellations
10.1 The Client may cancel works by providing written notice.
10.2 The Company reserves the right to charge for:
* Materials already purchased
* Time already committed
* Any losses incurred due to cancellation
11. Completion
11.1 Practical completion shall occur when the works are substantially complete and fit for intended use.
11.2 Minor defects or snagging items shall not entitle the Client to withhold payment.
12. Complaints
12.1 Any concerns regarding works carried out must be notified to the Company in writing within 14 days of completion.
12.2 The Company shall be given reasonable opportunity to inspect and remedy any verified defects.
13. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.
